China Updates- Taxation



Taxation
New General Anti-Avoidance Rules (GAAR) were issued. The new rules, which come into effect on 1st February, 2015, apply only to cross-border arrangements. It is specified that:
1. GAAR should only be used once SAAR (Specific Anti-Avoidance Rules) and tax treaty provisions are exhausted.  SAT approval is required.
2. GAAR will be invoked where either the sole or main purpose of an arrangement is to obtain a tax benefit or the tax benefit is obtained by using an arrangement whose form is permitted under tax rules, but is not consistent with the economic substance of the arrangement.
3. Once GAAR are invoked, tax authorities may adjust the result of the arrangement such that it is in conformity with the deemed reality of the underlying commercial situation.

4. The onus of proof under a GAAR investigation rests with the party being investigated.

China Updates- FDI Catalogue Update

FDI Catalogue Update
The consultation period for the revised draft of the Foreign Investment Industrial Guidance Catalogue (“FDI Catalogue”) ended on 3rd December. This Consultation Draft makes significant changes, including the following:
  1. Removal of Foreign Ownership Restrictions in around 75% of industries subject to a requirement to forming joint ventures with Chinese parties and around 25%  of industries where a Chinese party must (previously) have held a majority stake . 
  2. Reduction of Restricted List by around 50%. Examples of industries thereby freed up include direct marketing and e-commerce.
  3. Increase of Encouraged List, mainly in manufacturing subsectors and clean and alternative energy, but also in transportation, environmental protection, and various design sectors.

Hong Kong Updates- Paternity Leave & Data Protection

Paternity Leave
On 24th December, the  was amended to introduce three days’ paid paternity leave for working fathers (and fathers-to-be). This will come into effect on 27 February 2015.

Data Protection

The first prison sentence (but only of 4 weeks) imposed under the Personal Data (Privacy) Ordinance (of 1996) was handed down on 4th December.

China Updates- Foreign Investment Industrial Guidance Catalogue

Similarly (to the Shanghai FTZ relaxations above), the  NDRC (the National Development and Reform Commission) issued a revised draft of its catalogue, detailing which industries are encouraged, pen or restricted for foreign investors. The changes mirror those made for the FTZ, and include (affected industries) include steel, refining, paper, cars, electronics, alcoholic beverages, e-commerce and transport.

China Updates- Shanghai Free Trade Zone & Tax

Shanghai Free Trade Zone (“FTZ”)
Several industries were opened up to foreigners within the FTZ. To enquire whether yours is one of them, please contact us.

Tax
The Ministry of Finance and the State Administration of Taxation issued a circular, to be effective from 1st January 2014 to the end of 2018, giving tax breaks (e.g. reduced rate of CIT of 15%) to “qualified advanced technology services companies”.

Also with retroactive effect (to 1st January, 2014), accelerated depreciation of certain fixed assets is now allowed under Circular 64. This is not really a tax break, but will improve cash flow for companies with qualifying assets by reducing CIT in the early years.

Hong Kong Updates- MPF

New guidelines were issued by the Mandatory Provident Fund Authority (“MPFA”). Registered intermediaries must submit a specified return to the MPFA for each reporting period a return in the specified form (set out in the annexes to the Guidelines).The annual return form shave also been revised. There are also provisions regarding using a mobile app to access the eService.

China Updates- Corporate Governance

A new regulation, effective 1st October, 2014, provides for greater transparency of companies' information. Companies are now required to provide annual reports, containing prescribed information including investments in other companies, profits, and taxes paid, to various authorities. Public authorities will also be obliged to comply, meaning they will become more subject to public scrutiny. This is an interim step and is expected to be expanded.

The Beijing government has raised the requirements for foreigners to work in the capital. Foreigners must now have no criminal record, have a bachelor's degree with at least 2 years of relevant experience, and be 18 to 60 (though it's hard to see how an 18-year-old could have a bachelor's degree and two years' experience!).

China Updates- Outbound Investment

On 6th September, 2014, the Ministry of Commerce (MOFCOM) issued the final version of the Administrative Measires for Overseas Investment (the "MOFCOM Outbound Measures"). These and the National Development Reform Commission's (NDRC) own Outbound Measures, issued earlier in the year, are intended to reduce red tape over outbound investments by delegating approvals to NOFCOM's and NDRC's local (provincial/ state) offices. The effective date is 6th October, 2014.

Primasia Corporate Services Ltd.'s business matching service aims to match Chinese companies seeking to invest overseas with suitable foreign business owners. Such outboung investments are subject to approval (or filing procedures) with the NDRC and MOFCOM before the investment can be made. Considerations include (for NDRC) whether a project is in line with China's industrail policies and whether the investor has the financial strength to carry out the project, MOFCOM has authority to review all cross-border enterprise-formation matters.

Hong Kong Updates- Paternity leave

Draft legislation to introduce paternity leave has been amended to offer up to 7 days' leave instead of the 3 days previously proposed (and approved by the Labour Advisory Board). However, since the issue has become a hot potato, the legislation's smooth passage through the legislature is less certain than before.

The State Administration of Taxation (SAT) announced measures to support the innovative tax service in the pilot trade free zone. The most important of these is the automatic allocation of a tax registration number through the Internet. This is the first such trail of this.

China Updates- State Administration of Foreign Exchange (SAFE)

A new State Administration of Foreign Exchange (SAFE) circular (Circular 36 on "Relevant Issues Concerning the Pilot Reform in Certain Areas of the Administrative Method of the Conversion of Foreign Exchange Funds by Foreign-invested Enterprises") came into effect on 4th August 2014. Circular 26 allows increased flexibility to foreign-invested enterprises (FIEs) in some locations in China to convert the foreign exchange in their capital account into RMB (i.e. for use as working capital in the business).

Hong Kong Updates- Privity of Contract

The Contracts (Rights of Third Parties) Bill was introduced to the Hong Kong legislature. If it is passed (i.e. if it becomes an Ordinance), Hong Kong will, like several other common law jurisdictions, have reformed the long-established common law doctrine of "privity of contract".

Rather than pre-empt the legislation, which will likely not be effective until 2015, we will provide more information on the effects of this legislation once it has been passed.

China Updates- Shanghai Free Trade Zone

Revised Negative List for Shanghai Free Trade Zone

The list of prohibited industries in the Shanghai FTZ has been reduced from 190 to 139.

However, most of this has been achieved either by consolidation of industry categories or removal of activities (such as pornography) which are prohibited under the general law. As so often with the FTZs, there is less in the changes than meets the eye. Nevertheless, there are some genuine relaxations- further detail is available from Primasia on request.
